MKS Instruments Launches Proposed Public Offering by Selling Stockholders

ANDOVER, Mass., June 01, 2023 (GLOBE NEWSWIRE) --  MKS Instruments, Inc. (NASDAQ: MKSI) (“MKS”), a global provider of enabling technologies that transform our world, announced today that entities affiliated with Carlyle have commenced an underwritten public offering of 2,000,000 shares of common stock. MKS will not receive any of the proceeds from the sale of the shares being offered by the selling stockholders, but will bear the costs associated with the registration of such shares, other than underwriting discounts and commissions and other similar expenses.

J.P. Morgan is acting as the sole underwriter for the proposed offering.

A registration statement on Form S-3ASR relating to these securities has been filed with the Securities and Exchange Commission (the “SEC”) and became automatically effective when filed on August 24, 2022.
